Terms of Use for Event Organizers

Contracting Parties and Subject Matter

OnlineExpo OÜ (OnlineExpo), email info@onlineexpo.com, provides a attendee regsitration, ticket mediation and attendee management service to a legal entity registered as a user of the onlineexpo.com platform (Organizer), which entails the online mediation of electronic tickets to consumers (hereinafter Buyer).

OnlineExpo provides the Organizer with an online service that enables the Organizer to sell tickets to end consumers (hereinafter the Service). OnlineExpo provides the Service through its online information system at onlineexpo.com or through integrated active webwidget in Organizer webpage

Description of Service

The Service includes the development, updating, maintenance, and hosting of the platform by OnlineExpo, mediation of registrations and electronic ticket sales, electronic ticket delivery via email, payment processing, reporting, and user support for the Organizer.

Registration Control Service

The Service does not include ticket control by OnlineExpo at the Organizer’s events. The Organizer is responsible for ticket control within the event premises and must acquire the necessary internet connection and hardware solutions. OnlineExpo will ensure the possibility of on-site check-in of participants via the online based gate and the check-in via the OnlineExpo ticket verification app.

Payment for OnlineExpo’s Service

The price payable by the Organizer to OnlineExpo for the Service is calculated based on personal quote or base package according to the public price list at onlineexpo.com/en/prices.

All ticket sales revenue is initially received by the Organizer or OnlineExpo payment service. If OnlineExpo payment service is used, then ticket sales revenue is transferred by OnlineExpo to the Organizer at the beginning of each month, no later than the fifth working day, for the previous month, unless otherwise agreed between the Organizer and OnlineExpo. Before transferring the revenue, OnlineExpo deducts its service fee and issues an invoice to the Organizer for the deducted amount.

The Organizer agrees to display or reference the OnlineExpo branding on all event-related printed materials or advertisements associated with ticket sales information. Guidelines and explanations for using OnlineExpo’s branding and descriptions are available on OnlineExpo’s website.

Organizer’s Obligations

The Organizer confirms, upon signing the agreement, that they provide accurate information about their organization to OnlineExpo, supply Buyers with all necessary and truthful details about the event and tickets when selling through the OnlineExpo platform, accept tickets sold via the OnlineExpo platform, pay for the service provided by OnlineExpo, and refrain from harming OnlineExpo’s rights and interests, including intellectual property rights.

The Organizer agrees to register with OnlineExpo using accurate personal and contact details, including company name, registry code, postal address, VAT number, and bank account information for receiving ticket revenue.

The Organizer is responsible for entering and managing event details in the OnlineExpo platform, ensuring that all necessary and truthful sales information is available to Buyers, including ticket or registration prices, event date, location, event description, and information on personal data processing. The Organizer must comply with data protection regulations, as they act as the data controller for ticket sales and are responsible for ensuring the legitimacy of data collection and processing. The Organizer is responsible for the lawful processing of personal data.

Regarding personal data associated with the Service, the Organizer grants OnlineExpo permission to process all necessary data required for providing the mediation service within the scope and purpose described in these terms.

The Organizer agrees to accept tickets and registrations made to Buyers via the OnlineExpo platform.

The Organizer acknowledges that OnlineExpo deducts its service fee (if any) from the ticket revenue before transferring the funds to the Organizer.

The Organizer must disclose their own ticket purchase terms and conditions to Buyers.

If the Organizer allows Buyers to withdraw from the contract despite the exceptions outlined in the Law of Obligations Act § 53 (4) point 72, the Organizer is still obliged to pay OnlineExpo the applicable mediation fee for the relevant ticket, as per these terms.

OnlineExpo’s Obligations

OnlineExpo enables the Organizer to conduct ticket sales, registrations and attendee managemenet via the OnlineExpo platform, ensures the availability of information on the OnlineExpo platform, and transfers the ticket sales revenue to the Organizer (if used OnlineExpo as mediate) at the beginning of each month, no later than the fifth working day, after deducting the payment service provider’s and OnlineExpo’s fees. Additionally, OnlineExpo provides the Organizer with software for verifying tickets purchased through the OnlineExpo platform at the event entrance.

When organizing ticket sales on the OnlineExpo platform, OnlineExpo allows:

  • The Organizer to sell tickets at a desired price and quantity;
  • The Organizer to sell different types of tickets for a single event;
  • The Organizer to determine the information required from buyers;
  • The Organizer to set the start and end dates of sales for the entire event or specific ticket types;
  • The Organizer to display event information in multiple languages;
  • The Organizer to monitor the number of purchased and verified tickets in real time.

User Support

OnlineExpo provides user support via email and phone on business days from 09:00 to 20:00. Contact details: info@onlineexpo.com, phone +372 6829989. The Organizer is responsible for providing initial support to buyers, and buyers are directed to the Organizer’s general information contact. If the Organizer is unable to resolve buyer inquiries independently, they may escalate the issue to OnlineExpo.

Ticket sales information is accessible to the Organizer at any time after logging into the OnlineExpo platform, except during scheduled maintenance or circumstances beyond OnlineExpo’s control.

OnlineExpo enables the Organizer to use software that verifies the validity of tickets purchased through the OnlineExpo platform, validates active tickets, and marks them as used via an internet-connected device.

Liability

OnlineExpo mediates ticket sales, regsitraion and attendee management on behalf of the Organizer and is not responsible for the sales terms or contractual claims arising from ticket purchases. The Organizer is responsible for such claims.

OnlineExpo sells tickets on behalf of the Organizer and does not set or modify ticket prices or sales conditions, nor does it repurchase or exchange tickets, compensate for lost, stolen, or damaged tickets, or assume liability for event-related objects. The sales contract is formed between the Organizer and the Buyer.

The Organizer determines ticket-related rights and obligations and must inform Buyers accordingly. OnlineExpo is not responsible for these rights, obligations, modifications, or enforcement. The Organizer must also inform Buyers about personal data-related matters.

OnlineExpo is not an agent of the Organizer, performer, or any party responsible for event execution, content, information, advertising, or quality. The responsible party is the Organizer.

If an event is canceled, postponed, or the venue is changed, OnlineExpo is not obligated to repurchase or refund tickets. Ticket refunds or repurchases are handled by the Organizer.

Neither the Organizer nor OnlineExpo is liable for contract breaches caused by force majeure, such as widespread power or internet outages. After the force majeure event ends, the Organizer and OnlineExpo must resume fulfilling their obligations as soon as possible.

Governing Law and Dispute Resolution

These terms and any obligations arising from them are governed by the laws of the Republic of Estonia.

Disputes arising from or related to this agreement will first be resolved through negotiations. If negotiations fail, disputes will be settled in Harju County Court in accordance with the laws of the Republic of Estonia.
